		Corporate Governance Guidelines

		Code of Business Conduct (As amended September 2009) In September 2009, the Corporate Governance Committee approved amendments to the Code of Conduct intended to clarify the individuals who must approve certain activities, including the exchange of gifts or other items of value with third parties, and the procedures for reporting and handling concerns or violations relating to the Code. In addition, the amendments clarify that compliance with laws includes compliance with applicable laws in foreign jurisdictions, added new guidelines relating to interactions with healthcare professionals and communications relating to investigational drugs, and added links and cross references to other applicable policies of the Company.
